This License Agreement is a legal agreement between you and ADAPT Software India Pvt. Ltd. for the software
and associated electronic documentation (collectively, the "Software").
BY DOWNLOADING, INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF
THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT DOWNLOAD, INSTALL, COPY OR
OTHERWISE USE THE SOFTWARE.
- License to Use
You are granted a non-exclusive, non-transferable license ("License") to use Software-as-a-service. The
subscription is based on per user per month cost paid either quarterly or annually in advance. Every user in
Titan Workspace must have an active license attached to the subscription and works on Named User Concept. License
information and activation is controlled by Adapt Software India Pvt. Ltd. through their proprietary license
manager hosted. License is linked to the Office365 or SharePoint domain name.
- Copyright
You acknowledge and agree that the software is a proprietary product of ADAPT Software India Pvt. Ltd.,
protected by the copyright laws of the India and international copyright treaties. You further acknowledge
and agree that all rights, title, and interest in the Software, including intellectual property rights, are
and shall remain with ADAPT Software India Pvt. Ltd.. This License gives no rights to such content.
- Restrictions
You may not rent, lease, transfer, sublicense, distribute or transfer your rights in the Software to others.
You may not modify, translate, reverse engineer, decompile, disassemble, or create derivative works based on
the Software, or attempt in any way to determine the source or object code of the Software. You may not
remove any proprietary notices or labels on the Software.
- Term
This License Agreement is effective upon purchasing/subscribing the Software and shall continue until
terminated or failure to renew subscription. You may terminate this License at any time. ADAPT Software
India Pvt. Ltd. reserves the right to terminate this License if you fail to comply with these terms and
conditions. In the event of termination, you must destroy all copies of the Software.
- End user agrees to provide remote access to their Office365/SharePoint server incase ADAPT Software India
Pvt. Ltd. needs such an access to resolve the issue and provide technical support.
- No Warranty
THE SOFTWARE IS PROVIDED ON AN AS-IS BASIS, WITHOUT ANY WARRANTY OF ANY KIND. ALL EXPRESS OR IMPLIED
REPRESENTATIONS AND WARRANTIES, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR
PURPOSE OR NON-INFRINGEMENT, ARE HEREBY EXCLUDED. You bear the entire risk as to the quality and performance
of the Software. IN NO EVENT SHALL ADAPT SOFTWARE INDIA PVT. LTD.'S CUMULATIVE LIABILITY TO YOU FOR ANY
DAMAGES BE IN EXCESS OF THE LICENSE/SUBSCRIPTION FEE PAID TO ADAPT SOFTWARE INDIA PVT. LTD. FOR THE USE OF
THE SOFTWARE, EVEN IF ADAPT SOFTWARE INDIA PVT. LTD. SHALL HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH
DAMAGES. Under no circumstances shall ADAPT Software India Pvt. Ltd. be liable for any indirect, special,
incidental, or consequential damages including, without limitation, damages for loss profits, computer
failure or malfunction, or any other commercial damages or losses.
- Miscellaneous
This Agreement contains the entire understanding of the parties with respect to the matters contained
herein. There are no promises, covenants or undertakings other than those expressly set forth herein. This
Agreement may not be modified except by a writing, executed by ADAPT Software India Pvt. Ltd. and you. This
Agreement and the other licenses granted hereby are not assignable by you without the prior express written
consent of ADAPT Software India Pvt. Ltd.. If any provision is or becomes, at any time or for any reason,
unenforceable or invalid, the remaining provisions shall continue with the same effect as if such
unenforceable or invalid provisions was not inserted herein, provided that the ability of either party to
obtain substantially the bargained-for performance of the other shall not have thereby been impaired. This
Agreement shall be governed by and construed and enforced in accordance with the laws of India.
- Manufacturer is ADAPT Software India Pvt. Ltd. having its office at 544E Sector 37, Pace City2, Gurgaon,
Haryana, India 122001.
